Support Terms

These Support Terms govern voluntary payments, contributions, gifts, and other forms of support provided to The Shareholder Report (T$R).

1. Acceptance of Support Terms

By making a payment, contribution, gift, or other form of support to T$R, you confirm that you have read, understood, and agree to be bound by these Support Terms, together with the Website’s Terms of Use, Disclaimer, Privacy Policy, and Disclosures.

If you do not agree to these Support Terms, do not provide support.

2. Nature of Support

Support provided to T$R is voluntary. It is intended to help support the operation, maintenance, and continued development of T$R and its content.

Unless expressly stated otherwise, support is not an investment, not a loan, not a purchase of securities, and not a purchase of investment, financial, legal, tax, accounting, engineering, geological, or metallurgical advice.

3. No Investment Advice or Professional Relationship

Providing support to T$R does not create any client, advisory, fiduciary, agency, partnership, brokerage, dealer, portfolio-management, or other professional relationship between you and T$R.

T$R does not provide personalized investment advice in exchange for support.

4. Contributions Do Not Influence Coverage

Support does not influence which companies T$R covers, how T$R covers them, or the opinions expressed by T$R.

Support does not entitle any person to favorable coverage, continued coverage, future coverage, promotional treatment, private access, member access, or any special treatment unless expressly stated otherwise in writing by T$R.

5. Voluntary Support Only

Unless expressly stated otherwise in writing by T$R, support:

• does not purchase goods or services
• does not provide additional content, access, or special treatment
• does not provide consulting, advisory, or investor-relations services
• does not create any refund right except where required by law or expressly approved by T$R
• does not create any ownership, repayment, profit-sharing, or security interest

6. Payment Processors and Third-Party Services

Payments may be processed through third-party providers, including payment processors, banks, card networks, e-transfer systems, wallet providers, or similar services.

T$R does not control and is not responsible for the availability, performance, security, delays, errors, outages, chargebacks, reversals, declined transactions, exchange-rate differences, banking issues, or fees charged by third-party providers.

Your use of any third-party payment service may also be subject to that provider’s own terms, privacy policy, and other rules.

7. Refunds

All support is voluntary and, unless otherwise required by law or expressly approved by T$R in writing, is non-refundable.

T$R may, at its discretion, refuse, reject, reverse, cancel, or refund any payment or contribution for any reason, including to protect independence, manage conflicts of interest, address suspected fraud, or address a breach of these Support Terms.

8. Contribution Restrictions

To protect independence and manage conflicts of interest, T$R may decline, reject, reverse, or refund support from any person or entity, including where T$R believes the support could create a real or perceived conflict of interest.

Without limiting that discretion, T$R may refuse support from persons or entities that:

• are compensated by publicly traded companies not covered by T$R
• are directors, officers, insiders, employees, consultants, promoters, or agents of such companies
• seek to influence coverage, timing of coverage, tone of coverage, or publication decisions
• provide false, misleading, or incomplete information in connection with a payment
• appear to involve fraud, illegality, sanctions concerns, or reputational risk

9. No Charitable Status

T$R is not a registered charity unless expressly stated otherwise on the Website.

Support provided to T$R should not be treated as a charitable donation for tax purposes unless you independently confirm otherwise with a qualified adviser and official documentation from T$R expressly states that such treatment applies.

Unless expressly stated otherwise in writing by T$R, no charitable donation receipt will be issued.

10. No Guarantees

T$R makes no guarantee regarding:

• future content output
• frequency of publication
• coverage of any specific company or topic
• future access to any particular page, feature, or service
• investment performance, outcomes, or success
• the timing, publication, continuation, or removal of any content

11. Disclosures and Conflicts

T$R may hold securities of companies discussed on the Website and may have other actual or potential conflicts of interest, including compensation received after independently initiated coverage, business relationships, or consulting relationships.

You agree that it is your responsibility to review the Website’s Disclosures page, Disclaimer, and any issuer-specific disclosures before relying on any content.

12. Chargebacks and Payment Disputes

You agree not to initiate an improper chargeback, reversal, or payment dispute in bad faith.

If a chargeback, reversal, or payment dispute is initiated, T$R may suspend or terminate any related account, refuse future support, contest the dispute, and seek recovery of related costs and fees to the extent permitted by law.

13. Limitation of Liability

To the maximum extent permitted by law, T$R and its owner, founder, affiliates, contractors, and representatives shall not be liable for any direct, indirect, incidental, special, consequential, punitive, or other losses, damages, costs, or expenses arising from or related to:

• your decision to provide support
• any refusal, rejection, cancellation, reversal, or refund of support
• third-party payment processors or service providers
• technical errors, outages, security issues, delays, or failed transactions
• your reliance on Website content

14. Right to Refuse or Cancel

T$R reserves the right, at any time and in its sole discretion, to refuse, reject, cancel, reverse, or refund any support or to suspend or terminate any related access, account, or interaction.

15. Changes to These Support Terms

T$R may update, modify, or replace these Support Terms at any time and without notice. The most current version will be posted on the Website with the revised date shown above.

Your continued provision of support or use of support-related services after any update constitutes acceptance of the updated Support Terms.

16. Governing Law and Jurisdiction

These Support Terms and any dispute relating to support provided to T$R shall be governed by the laws of Ontario, Canada, without regard to conflict-of-law principles.

You agree that any disputes relating to these Support Terms shall be brought exclusively in the courts of Ontario, Canada, unless applicable law requires otherwise.

17. Severability and No Waiver

If any provision of these Support Terms is found to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect.

No waiver by T$R of any provision or breach of these Support Terms shall be deemed a continuing waiver of any other provision or breach.
